How to incorporate in Florida.

Corporations are formed in different states for a lot of reasons so you should ask yourself why you should incorporate in Florida. The foremost reason why businesses incorporate is because they want to create a juridical personality separate from the personality of the investors.

Here are other reasons for incorporating a business:

  • To get limited liability. If you settle for sole business ownership then you get all the blame for what happens to the business and you get to shoulder all the liabilities. By incorporating the business you are only liable to the extent of your investment or share in the corporation.

  • To be entitled to tax deductions. A taxpayer should never evade taxes but he can look for legal ways to avoid tax payments and one way to do this is to incorporate. By incorporating, most expenses that are otherwise considered as personal expenditures can now be deducted as corporate expenses.

  • To raise unlimited amount of capital. Doing business on your own or with a business partner can provide you with a limited capital. However, incorporating the business will enable you to get as much capital as would be invested by the shareholders.

  • To keep the business in existence even with the demise of the original investors. Unlike sole proprietorships, corporations continue to exist for a specific number of years even if the incorporators die.
